CONSTITUTION

of the

CALIFORNIA FACULTY ASSOCIATION

Article I. NAME

The name of this organization shall be the California State University, Stanislaus Chapter of the California Faculty Association (CFA).

Article II. PURPOSES

The purposes of this Chapter shall be to defend and promote academic freedom, tenure, due process, and shared governance; to protect and advance the professional and economic interests of the California State University, Stanislaus faculty; to promote the standards, ideals, usefulness, and welfare of the profession; and to support the goals and implement the policies of the California Faculty Association at the local level.

 

[CFA State-Wide:

The CFA is established to strengthen the cause of higher education for the public good; to promote and maintain the standards and ideals of the profession; to provide a democratic voice for academic employees; to provide legislative advocacy; and to maintain collective bargaining agreements covering salaries, working conditions, and other terms and conditions of employment. These agreements shall seek:

    1. To obtain explicit guarantees of academic freedom, tenure, and academic due process;
    2. To create orderly and clear procedures for prompt consideration of problems and grievances;
    3. To promote and protect the professional and economic interests of CFA and all bargaining unit members and,
    4. To promote unity among academic employees and thereby enhance the effectiveness of the CFA in representing these employees.]

The purpose of this Chapter is to represent the faculty of California State University, Fresno as the exclusive agent under the Higher Education Employer Employee Relations Act (HEEERA). This is accomplished by the vigorous enforcement of faculty rights as enunciated in the Memorandum of Understanding.

The Chapter organizes and coordinates the Fresno campus responsibilities of the CFA, represents the interests of members in the statewide organization, sets local priorities and goals, informs all faculty of their rights under the contract, assists all faculty in assenting and protecting those rights, seeks to resolve disputes within the framework of the MOU, and seeks to enforce the MOU on the local level.

The goal of this Chapter shall be to promote and maintain the standards, ideals and welfare of the teaching profession; to defend academic freedom; and to promote and protect the professional and economic interests of the faculty at California State University, Fresno.}

 

Article III. RELATIONSHIP WITH THE STATE-WIDE

CFA AND AFFILIATED ORGANIZATIONS

This chapter shall serve as the local academic professional chapter/subchapter of the State-wide California Faculty Association, the American Association of University Professors, the California State Employees Association, the California Teachers Association, and the National Education Association within the California State University, Stanislaus.

The Constitution and other policy documents of the Chapter and any actions taken by the Chapter or its officers shall be in conformity with the Bylaws, Articles of Incorporation, and other policy documents of the State-wide CFA.

[CFA State-wide:

Article XX–Affiliated Associations

Any organization of employees whose membership meets the eligibility requirements for membership in CFA may become an affiliated association of CFA upon fulfilling the following requirements:

    1. The Articles of Incorporation and Bylaws of CFA must be agreed to and ratified by any organization applying for affiliation. Each such organization agrees to cooperate with CFA in matters pertaining to the purposes of CFA.
    2. The application for affiliation must be approved by a two-thirds vote of the total membership of the Assembly.

Article XXI–Obligations of the Affiliated Organizations

Section 1. Agreements of Signatories. Each affiliated association of CFA agrees upon becoming a

signatory to these Bylaws that:

    1. It will fulfill its obligations under these Bylaws; and,
    2. It will refrain from seeking bargaining agent status within a unit represented by CFA.

Section 2. Resolution of Disputes. Unresolved disputes between or among any affiliated

organizations shall be resolved by mediation under such rules as may be hereinafter established by the Board of Directors.

Section 3. Written Notice of Disaffiliation. These Bylaws shall be binding on an affiliated

association unless it give official notice of disaffiliation from CFA to each of the other

affiliated associations and to the Board of Directors of CFA at least ninety days in

advance of such action within which period there shall be an honest attempt at mediation

of any disputes.]

Article IV. MEMBERSHIP

The membership in this Chapter shall be all persons at this University who are members of the California Faculty Association, and who have satisfied dues requirements.

Active Membership. Any person who is employed by California State University, Stanislaus for the purpose of instruction as defined by the policies of CFA (including , but not limited to department chairpersons, librarians, counselors, and other instructional faculty) shall be eligible for Active Membership in CFA. Active members shall have all the customary rights of membership, including the right to vote, to hold office, and otherwise to exercise the privileges of membership. Persons participating in faculty early retirement programs shall be classified as Active Members for the purpose of goverance (sp. governance).

Associate Membership. CFA Active members on full leave without pay, on temporary layoff, or on layoff for reasons of financial exigency shall be reclassified to Associate Membership. Associate Members shall have the same membership rights as Active Members.

Retired Membership. Any person who is retired (except a member in a faculty early retirement program) can qualify for CFA Retired Membership if he or she was a member of CFA at the time of retirement. Retired Members may not vote or hold office at the State or Chapter level except within Councils of Retired Members, as Chapter retired member council representatives to the Chapter Executive Committee, as State Retired Council Representatives to the CFA Assembly, or as members of the Board of Directors. Retired members may exercise all other rights of membership.

Exercising Rights of Membership. Only members of CFA may exercise the customary rights of CFA membership at the Chapter and State-Wide level, including the right to vote in CFA elections and referenda and the right to hold office within CFA.

ARTICLE V–MEMBERSHIP STATUS

SECTION 1. Active Membership. Any academic employee of a California institution of public higher education shall be eligible for Active membership in CFA.

Members in good standing who are participating in early retirement programs shall be classified

as Active members for the purpose of governance.

Lecturers shall remain Active members upon direct payment of dues as long as they are employed

in the CSU for at least one semester/two quarters during the year, or are in the process of grieving

non-reappointment.

Active members who are not members of CSU bargaining unit 3 shall not have rights with respect

to decisions affecting the CFA-CSU collective bargaining agreement.

SECTION 2. Associate Membership. CFA Active members on full leave without pay, on temporary layoff, or on layoff for reasons of financial exigency, shall be reclassified to Associate members. Upon payment of full dues, Associate members shall have the same membership rights as Active members for governance purposes, but shall have no rights with respect to decisions affecting the CFA-CSU collective bargaining agreement.

SECTION 3. Retired Membership. Any person who is a Retired member of CSU Unit 3, not participating in an early retirement program, can qualify for CFA Retired membership. Retired members may not vote at the state or chapter level except as representatives to chapter executive committees, as representatives to the Assembly or as Retired members of the Board of Directors.

SECTION 4. Membership in Good Standing. A member shall be in good standing upon the receipt of the first month’s dues at the CFA Headquarters.

SECTION 5. Staff. CFA staff shall be considered CFA members for purposes of affiliate benefit rights but shall have no other rights of membership.

ARTICLE IV–MEMBER RIGHTS

While CFA endeavors to provide strong, effective and professional representation to all bargaining unit members, CFA members in good standing enjoy rights and privileges which include, but are not limited to, the following:

    1. The right to elect chapter Officers and representatives to the Assembly;
    2. The right to participate in CFA meetings;
    3. The right to petition the state organization and its chapters on policy and governance matters;
    4. The right to recall chapter Officers and to petition for recall of state Officers;
    5. The right to serve on various committees and appointed bodies within CFA, to run for election to chapter and state offices, and to run for election to bodies or organizations with which CFA is affiliated.
    6. The right to regular and timely information about the activities of CFA; and,
    7. The right to participate in the development of CFA bargaining proposals and strategies.]

{CSUFresno: Article III Membership

Section 1. Membership. Membership in this chapter shall be limited to persons at CSU,

Fresno who are members of CFA.

Section 2. Privileges.

All members enjoy special rights:

    1. to elect officers and representatives to the CFA Assembly
    2. Non-unit 3 CFA members may be limited in their ability to participate in some activities normally granted to members. Such limitations are detailed in the statewide CFA Bylaws

    3. to participate in regular CFA business meetings
    4. to petition CFA regarding policy and governance
    5. to recall local officers and petition the recall of state officers
    6. to serve on various committees and appointed bodies within CFA or its affiliated organizations
    7. to regular and timely information about the activities of CFA
    8. to be consulted in the development of bargaining proposals and strategies
    9. to receive, at their request, annual budgets and financial reports of the chapter, Statewide CFA and Statewide CFA’s Political Action funds; to receive at their request, any other financial reports of CFA and to examine the chapter financial records at a reasonable time.}

 

Article V. OFFICERS

The Officers of this Chapter shall be a president, vice president, secretary, treasurer, tenure-track faculty delegate to the CFA Assembly, and lecturer faculty delegate to the CFA Assembly.

The officers of this Chapter shall be a President, Vice President, Secretary, Treasurer,

Delegates to the Assembly, Faculty Rights Officer, and the Immediate Past President and two officers at-large.}

Terms of Office. Each full term of office shall be two years, beginning on the last day of the Spring semester of even-numbered years.

{CSUFresno: Section 1. Terms of Office. Each full term of office shall be for two years, beginning on May 1 of even numbered years, except that the terms of one of the Assembly Delegates shall begin on May 1 of odd numbered years. Except for the Immediate Past President and the Faculty Rights Officer, all officers shall be elected by a majority vote of those voting. The Faculty Rights Officer shall be appointed by the President and approved by the Executive Committee.}

Duties of Officers.

  1. President. The president shall carry out the policies of the Chapter, exercise general supervision over
  2. the activities of the Chapter, preside at meetings of the Chapter membership and the Executive

    Committee, serve as spokesperson for the Chapter, certify elected Chapter delegates/representatives and alternates to the State-wide bodies of the CFA, serve as one of the Chapter’s representatives to the CFA Assembly and as a member of the Council of Chapter Presidents.

  3. Vice President. The Vice President shall serve as a member of the Chapter’s Membership Committee,

assume the duties of the President in the absence or at the request of the latter, and assume additional duties as assigned by the President. The Vice President shall automatically succeed to the office of President for the balance of the unexpired term when the position of President becomes vacant.

  1. Vice President. The Vice President shall supervise membership recruitment, preside at meetings at the request of or absence of the President and fulfill duties as assigned by the President.}

C. Secretary. The secretary shall keep the roll of Chapter members, keep a record of all proceedings and

correspondence of the Chapter and of the Executive committee, send such notices as may be

required, supervise the distribution of information to members and serve as a member of the Publication Committee.

D. Treasurer. The treasurer shall keep an accurate record of all monies received and disbursed, prepare an

annual report of finances, prepare and submit for approval an annual budget, and present a

statement of Chapter finances at each general meeting of the membership and whenever requested

to do so at Executive Committee meetings. The treasurer shall expend organizational funds only

upon the approval of the Executive Committee. Also, the treasurer shall be bonded and shall

initiate an annual audit.

The treasurer shall keep an accurate record of all money received and of all duly authorized disbursements, prepare an annual report of finances and prepare and submit for approval an annual budget. The Treasurer shall secure a periodic audit of the financial records of the Chapter. An audit shall be conducted at the conclusion of each term.}

E. Tenure-Track Faculty Delegate to the CFA Assembly.

The tenure-track faculty delegate shall serve as the Chapter’s representative to the CFA Assembly.

  1. Lecturer Faculty Delegate to the CFA Assembly.

The lecturer faculty delegate shall serve as the Chapter’s representative to the CFA Assembly.

Faculty Rights Officer. The Faculty Rights Officer shall have primary responsibility for the defense of faculty rights under the MOU the faculty rights officer shall either be a faculty rights advocate or a member of the faculty rights policy committee.

Immediate Past President. The Immediate Past President shall give advice and counsel to the Executive Committee.

At-Large Officers (2). Officers-at-large shall represent the entire CFA membership in deliberations of the executive committee and shall assist with other duties as determined by the executive committee.}

{CSUFresno: Section 3. Vacancies.

    1. When the position of President is vacated, the Vice President shall succeed to President and complete the unexpired term of office as President.
    2. Except for the office of President, all vacancies shall be filled by special election as soon as practical. Individuals so elected shall complete the unexpired term of office.
    3. While an office is vacant, the Executive Committee shall designate one of its members to perform the functions of that office.
    4. The Executive Committee shall designate a member of the Chapter to be a CFA Delegate when an elected delegate is unable to attend a statewide meeting.

Section 4. Recall. All officers are subject to recall.

    1. A two-thirds vote by the members at a regularly scheduled meeting, or a petition signed by 10% of the members of the Chapter, shall cause a recall election to be conducted within one month.
    2. Upon a 60% affirmative vote of the members of the Chapter casting ballots, the officer shall be recalled and shall vacate the office.}

Article VI. GOVERANCE

This Chapter shall be governed by general meetings of the membership. An action of the membership in regular or special meetings shall take precedence over actions of the Executive Committee. In order to facilitate the transaction of Chapter business, the Executive Committee shall be empowered to take action on behalf of, but remain subject to the instruction of the membership. Similarly, the President shall be empowered to act on behalf of, but remain subject to the instruction of the Executive Committee and membership.

[CFA State-wide: Article III–Policy Authority

Authority for the governance of the CFA is ultimately vested in its members. State Officers, members of the Board of Directors, committees, representative bodies and staff are responsible to CFA’s membership, as are local chapter Officers, boards and representative bodies.

The Assembly is the primary governing body of CFA and is the direct representative of members. The Assembly has primary authority to set board policy for CFA, adopt budgets and authorize action on behalf of CFA.

The Officers and Board of Directors of CFA oversee the governance of CFA, carry out its policies, and act for the Assembly between meetings of that body. The Officers and Board of Directors act on behalf of the membership and the Assembly under provisions specified in these Bylaws.

The Chapter Presidents Council may provide recommendations to the Board of Directors and Officers of CFA regarding governance, policies, and operations under provisions specified in these Bylaws.

The Council of Lecturers, Counselors Committee and the Librarians may provide recommendations to the Board of Directors, Officers and Chapter Executive Committees regarding governance, policies, and operations under provisions specified in these Bylaws.

At the local campus level each chapter shall organize; develop local programs and policy; coordinate work of the CFA; represent the interests of members in the Association; and, communicate and carry out state CFA programs and policies on the campus.]

{CSUFresno: Article IV Governance

Section 1. Authority. Authority for the governance of the Chapter is ultimately vested in the membership, Officers, committee members and staff are responsible to the membership. The Chapter shall be governed by the General Meetings of the statewide CFA.

Section 2. Actions. Any action taken by the Chapter, or its officers, shall be in conformity with the Bylaws, Articles of Incorporation, and other policy documents of the statewide CFA.}

 

Article VII. MEMBERSHIP MEETINGS

Regular membership meetings of the Chapter shall be held not less than twice each year, as determined by the Executive Committee. Special meetings may be called by the President. The President shall call a special meeting when so directed by petition of at least fifteen percent of the Chapter membership. A meeting shall be held within three weeks of receiving such a petition.

Notice. Written notice of each Chapter meeting shall be sent to each Chapter member no less

than one week in advance of the date selected for the meeting. Notice shall include time, place, and purposes of the meeting.

Quorum. Ten percent of the total Chapter membership, but not fewer than ten members, shall

constitute a quorum.

Mail Ballot. The Executive Committee is empowered to conduct a mail ballot when it is deemed

necessary.

{CSUFresno: Meetings

    1. Regular chapter meetings shall be called at least twice each academic year. The Executive
    2. Committee may schedule more frequent meetings.

    3. Special Chapter meeting may be called by the President or by petition of 10% of the membership. Special meeting shall be called within three weeks of receiving a petition of the membership.
    4. Notice. Written notice of each chapter meeting shall be sent to each member of the Chapter no less than one week in advance of the date selected for the meeting.}

Article VIII. COMMITTEES

Executive Committee

  1. Membership. The Executive Committee shall consist of the President, Vice President, Secretary,

Treasurer, the elected Chapter delegates to the CFA Assembly, and the immediate past-President.

{CSUFresno: Article VI Committees

Section 1. Executive Committee

Membership. The Executive Committee shall consist of all the officers listed in ArticleV plus up to four other members as stated in a. and b.

    1. There shall be at least (2) members of the Executive Committee who are members of racial and ethnic minorities. If this is not the case after each election, sufficient members of racial and ethnic minorities will be added to the Executive Committee to satisfy this requirement. The member(s) shall be appointed by the President and approved by the Executive Committee. The added member(s) shall serve at large until the next yearly election.
    2. There shall be at least two (2) members of the Executive Committee who are women and at least two (2) who are men. If this is not the case after each election, sufficient member(s) shall be appointed by the President and approved by the Executive Committee. The added member(s) shall serve at large until the next election.}
  1. Quorum. A majority of the Executive Committee shall constitute a quorum.
  2.  

  3. Duties. The Executive Committee shall be vested with the authority to conduct the business of the

Chapter, subject to the policies of the CFA and the instructions of the membership. In addition,

the Executive Committee shall:

    1. be responsible for the Chapter’s continuing and effective presence on campus and for implementing efforts to promote CFA goals;
    2. schedule, and prepare agenda for general meetings of the Chapter membership;
    3. make temporary appointments to fill vacant Executive Committee positions (except President and Immediate Past President) until new elections have been held to fill the positions for the unexpired terms of office;

    5. appoint delegates to the CFA Assembly when the elected delegate or alternate are unable to attend a meeting.
    6. make appointments to all standing and ad hoc committees of the Chapter.
    7. exercise prudent fiscal responsibility in approving the expenditure of Chapter funds.

{CSUFresno: C. Duties.

In order to facilitate the transaction of Chapter business, the Executive Committee is

empowered to take action on behalf of, but remains subject to the instruction of the

membership. Similarly, the President may take action on behalf of, but remains subject to

the instruction of, the Executive Committee and the membership.

The Executive Committee has the authority and responsibility to conduct the business of the

Chapter, subject to the policies of the CFA and the instructions of the membership. This

responsibility includes maintaining the Chapter’s continuing and effective presence on

campus and the implementation of local and statewide CFA goals.}

 

Elections Committee

  1. Membership and Selection. Each Fall, at a general meeting of the Chapter membership, the presiding officer shall supervise the election of an Elections Committee, comprised of three members. The chairperson of the Committee shall be determined from and by the elected members. Elections Committee members shall not be eligible for nomination for elective office. Vacancies on the Committee due to resignation or disqualification shall be filled by appointment of the Executive Committee. Members of the Elections Committee shall continue to serve until a new Committee has been selected.
  2. {CSUFresno: Membership

    The Elections Committee shall be appointed by the President with the approval of the Executive Committee.}

  3. Duties. The Elections Committee shall nominate, and solicit from the membership nominations of, candidates for elective offices. The Committee shall conduct all Chapter elections, including constitutional amendments and other Chapter referenda.

{CSUFresno: Duties

The Elections Committee shall be responsible for conducting CFA chapter elections as well

as monitoring non-chapter elections.}

Membership Committee

  1. Membership. The Membership Committee shall consist of the Vice President and at least two other members to be appointed by the Executive Committee. The Vice President shall serve as the chairperson for the Committee. The terms of office of appointed members shall be two years and staggered.
  2. {CSUFresno: Membership.

    The Membership Committee shall be appointed by the President with the approval of the

    Executive Committee. The Committee shall be chaired by the Vice President.}

  3. Duties. The Committee shall actively recruit new members, serve as a liaison between the Chapter leadership and the membership, and be responsible for coordinating the CFA membership benefits program on campus.

The Membership Committee shall be responsible for the recruitment and maintenance of

members.}

Publications Committee

  1. Membership. The Publications Committee shall consist of the Secretary, the elected Chapter Delegates to the CFA Assembly, and at least two other members to be appointed by the Executive Committee. The Secretary shall serve as chairperson for the Committee. The terms of office of appointed members shall be two years and staggered.
  2. Duties. The Committee shall be responsible for keeping the campus informed of State-wide and local CFA activities and issues through appropriate Chapter publications and distribution of CFA informational materials.

Professional Rights Committee

{CSUFresno: Section 3. Faculty Rights Policy Committee}

  1. Membership. The Professional Rights Committee shall consist of four members, appointed by the Executive Committee. The chairperson for the Committee shall be appointed by the Executive Committee. The terms of office shall be two years and staggered.
  2. {CSUFresno: Membership

    The Faculty Rights Policy Committee shall be appointed by the President with the approval

    of the Executive Committee.}

  3. Duties. The Committee shall counsel faculty on grievance matters, receive notices of intent to grieve, and assist grievants throughout the grievance process. In addition, the Committee shall monitor and maintain records on campus policies concerning the recruitment, retention, tenure, and promotion of faculty, and other personnel matters.

{CSUFresno: Duties

The Faculty Rights Policy Committee shall be responsible for reviewing CFA’s policies and

practices in the representation of faculty rights and the education of the faculty regarding the nature of their rights and responsibilities under the MOU, campus policies, professional standards and sound personnel practice. Members of the Faculty Rights Policy Committee shall not be Faculty Rights Advocates.}

Political Action Committee

  1. Membership. The Political Action Committee shall consist of the Treasurer and four members appointed by the Executive Committee. The chairperson for the Committee shall be appointed by the Executive Committee. The terms of office shall be two years, and staggered.
  2. Duties. This committee shall handle all PAC activities of the Chapter. It shall create grass-roots support for legislation and candidates endorsed by CFA, make recommendations concerning the expenditure of PAC funds, and disseminate to the membership information on candidates, potential legislation, and/or legislative bills. In all activities it shall work closely with the Publications Committee.

Special Services Committee

  1. Membership. The Special Services Committee shall consist of at least three members. One member shall be an appointed representative of the Chapter Retired Membership, and at least two shall be appointed by the Executive Committee. The chairperson for the Committee shall be appointed by the Executive Committee. The terms of office shall be two years.
  2. Duties. This committee shall concern itself with providing information to the Chapter membership regarding insurance benefits, medical and legal services and like special services available through the Chapter, State and National affiliates. Also, the committee shall address equitable application of legislation concerning retirement and shall support efforts to improve the retirement system. The committee shall counsel faculty who desire information and assistance.

Other Standing and Ad Hoc Committees. Other standing and ad hoc committees shall be established as necessary to promote the goals and welfare of the Chapter. Such committees shall consist of at least three members appointed by the Executive Committee. The terms of office of standing committee members shall be two years, unless designated otherwise by the Executive Committee. Members of ad hoc committees shall serve such terms as are deemed appropriate in each case.

Committee Membership Vacancies. Replacements for vacated committee positions shall be chosen by the same process as for initial selection.

Committee Chairs. All standing and ad hoc committees shall elect their own chairperson, except for those standing committees specified in this Constitution.

Confirmation of Committee Members. All appointed members of standing and ad hoc committees shall be confirmed by the Chapter membership at a general membership meeting.

 

Article IX. CHAPTER DELEGATE TO THE

CFA ASSEMBLY AND ALTERNATE

In addition to the Chapter President, the Chapter shall be represented at the CFA Assembly by an elected campus delegate of the tenure-track faculty and an elected campus delegate of the lecturer faculty.

Term of Office. The term of office of the elected campus delegates shall be two years.

Duties. The elected campus delegates shall attend all meetings of the CFA Assembly, report to the Chapter membership about the Assembly’s actions and proceedings, and serve as members of the Publications Committee.

Alternate. The tenure-track faculty members of the Chapter shall elect an alternate delegate to the CFA Assembly for a two-year term. Similarly, the lecturer faculty members of the Chapter shall elect an alternate delegate to the CFA Assembly for a two year term. Each respective alternate shall attend meetings of the CFA Assembly whenever the elected representative is unable to attend.

Article X. ELECTIONS

Voting Rights. All members of the Chapter shall have the right to vote in general Chapter elections. In elections for tenure-track faculty delegate and lecturer faculty delegate to the General Assembly, only those members who belong to the appropriate faculty group within the bargaining unit have the right to vote.

Timing. Annual elections shall be conducted during the months of March and April. Special elections shall be held as soon as practicable after an office has become vacant.

Nominations and Notification. After soliciting nomination suggestions from the Executive Committee and the Chapter membership, the Elections Committee shall develop a slate of nominees, containing preferably two names for each position. No person shall be a candidate simultaneously for more than one elective office. Additional nominations may be submitted by petition, signed by at least ten members of the Chapter. Such petitions must be received by the Elections Committee by the deadline established by the Committee. The Elections Committee shall notify all members of the Chapter of its nominees at least seven working days prior to balloting.

Nominations shall be solicited from all members of the Chapter. Self-nomination or

nomination by a single member shall be sufficient for nomination.

Slate of Nominees. The Elections Committee shall contact each member nominated to

determine if he/she is willing to run for office. No person shall be a candidate simultaneously for more than one elective office.}

Balloting. All elections shall be conducted by secret ballot. The Elections Committee shall prepare, distribute, receive, and count ballots and announce and certify the results. For each office, a ballot shall contain entries for the nominees and space for a write-in candidate. Provisions may be made for attaching brief biographical sketches and statements by the candidates to the ballots. Ballots shall be distributed at least seven days before the ballot return deadline. A majority of the votes cast shall be required to win.

Vacancy of the Office of President. When the position of President becomes vacant, the Vice President shall automatically succeed to that position and complete the term of office of President. A new

Vice President shall be elected at the earliest opportunity.

Recall. All members of the Executive Committee are subject to recall.

  1. A two-thirds vote by the members at a regularly-scheduled meeting, or a petition signed by twenty percent of the members of the Chapter, shall cause a recall election to be conducted within one month.
  2. Upon a sixty percent vote of the Chapter members casting ballots, the person shall be recalled and shall vacate his or her position on the Executive Committee.

Election of Delegates and Alternates to the CFA Assembly. Delegates and alternates to the CFA Assembly shall be elected by the same procedures as apply to elections of Chapter officers. CFA Delegates and Alternates shall serve for a two-year term.

 

Article XI. AMENDMENT OF THIS CONSTITUTION

Initiation. Constitutional amendments shall be initiated either by petition from any ten members of the Chapter or by the Executive Committee.

Approval. Notice setting forth each proposed amendment, with reasons thereof, shall be sent to each member at least fourteen days prior to distribution of the ballots. At least seven days shall be allowed for the return of ballots. Approval by two-thirds of the membership responding to the secret ballot shall constitute approval by the Chapter. After approval by the Chapter, amendments to the Constitution shall be submitted to the State-wide CFA Board of Directors. Approval by the Board is required before a constitutional amendment becomes effective.

Amendment by the Assembly. Substantive amendments to the Constitution may be made by the CFA Assembly in accordance with the provisions of the Bylaws of the CFA, to bring this constitution into harmony with the provisions of the bylaws of the CFA.

After approval by the Chapter, amendments to the Constitution shall be submitted to the

CFA Board of Directors. Approval by the Board is required prior to implementation.}

Article XII. PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order, Newly Revised, shall govern the Chapter in all cases to which they are applicable, and in which they are not inconsistent with this Constitution or with any special rules of order adopted by the Chapter.

 

Article XIII. RATIFICATION

This Constitution shall be ratified by a majority vote of the campus CFA members responding to a secret ballot. All members shall be sent a notice of the election at least fourteen days in advance of ballot distribution. At least seven days shall be allowed for the return of ballots. The election shall be supervised by the Chapter Executive Committee and conducted by the Elections Committee.

 

Article XIV. EFFECTIVE DATE

This Chapter Constitution shall become effective on December 31, 1988.
